1. Introduction
1.1 These Terms and Conditions govern the provision of services by Ripple (“we”, “us”, “our”) to the client (“you”, “your”). By engaging our services, you agree to these Terms and Conditions.
2. Scope of Services
2.1 Ripple offers marketing services, including but not limited to copywriting, branding, marketing strategy, business consultancy, and web development. The specific services to be provided will be outlined in a separate proposal or contract, which forms part of this agreement.
3. Proposals and Agreements
3.1 All proposals provided by Ripple are valid for 14 days from the date of issuance unless otherwise stated. The scope of work, fees, and timelines outlined in the proposal will be finalized in writing before the commencement of services.
4. Payment Terms
4.1 Pricing: Fees for our services will be detailed in the proposal and invoiced upon completion of milestones or at agreed intervals.
4.2 Payment Schedule: Payments are typically due within 30 days of receipt of the invoice unless otherwise stated.
4.3 Late Payments: A late payment fee of 5% per month may be applied to invoices not paid on time. We reserve the right to pause or terminate services if payment is not made within the agreed terms.
5. Client Responsibilities
5.1 To enable us to perform the services effectively, you agree to provide all necessary materials, feedback, and approvals in a timely manner. Delays caused by the client may affect project timelines and may result in additional fees.
6. Intellectual Property
6.1 Ownership: Upon receipt of full payment, you will own all final deliverables created specifically for your project, such as logos, written content, and web designs.
6.2 Pre-existing Materials: Ripple retains the ownership of any intellectual property, tools, or materials that were created or developed by us prior to or independent of this agreement.
6.3 Portfolio Use: We reserve the right to display any work created for you in our portfolio, website, and marketing materials unless you request otherwise in writing and pay additional fees to release the rights to the client.
7. Confidentiality
7.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. Ripple will not disclose any of your confidential information to third parties without your consent, and you agree to the same in regards to Ripple’s proprietary processes and pricing.
8. Revisions and Approvals
8.1 Revisions: The scope of revisions will be outlined in the proposal. Typically, a set number of revisions (e.g., two rounds) are included. Additional revisions may incur extra charges.
8.2 Approvals: Final approval of all deliverables is required in writing. Once approved, any further changes will be considered new work and may result in additional charges.
9. Cancellation and Termination
9.1 Client Cancellation: You may cancel the project at any time. However, you will be responsible for payment of any work completed up to the date of cancellation.
9.2 Ripple Termination: We reserve the right to terminate the agreement if you breach any terms or fail to meet payment obligations. In such cases, you will be invoiced for the completed work, and any deliverables not yet paid for will remain the property of Ripple.
10. Liability
10.1 Limitation of Liability: Ripple is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our maximum liability to you shall not exceed the total fees paid for the services under this agreement.
10.2 Third-Party Services: Ripple may recommend or work with third-party vendors (e.g., hosting, printing) as part of the project. We are not responsible for their actions or performance.
11. Dispute Resolution
11.1 In the event of a dispute, both parties agree to first attempt mediation before pursuing litigation. Any unresolved disputes shall be subject to the laws of the state of Kuwait, and any legal proceedings will be held in the courts of state of Kuwait.
12. Force Majeure
12.1 Ripple shall not be held liable for delays or failure to perform any part of the agreement due to circumstances beyond our control, including but not limited to natural disasters, government actions, or technical failures.
13. Changes to Terms and Conditions
13.1 Ripple reserves the right to update or modify these Terms and Conditions at any time. Any changes will be communicated to you in writing and will apply to future projects or ongoing retainers.
